CANCELLATION POLICY

This Cancellation Policy ("Policy") explains how Customers may stop renewal, cancel subscriptions, end optional paid components and otherwise discontinue paid BACI Services.

Cancellation, termination and refund are distinct. Cancellation ordinarily controls future renewal or the end of a subscription term. Termination may end contractual rights because of cause, convenience or another contractual event. Refunds are governed separately by the BACI Refund Policy.

BACI's Services are primarily business and professional services. Nothing in this Policy limits cancellation, withdrawal, renewal or other rights that cannot lawfully be excluded under Applicable Law.

1. SCOPE

This Policy applies to subscriptions purchased directly from BACI through self-service checkout, sales-assisted purchase, an Order or another BACI-controlled billing channel, unless an applicable Order, Statement of Work, Enterprise Customer Agreement / Master Services Agreement or other higher-precedence agreement expressly provides different cancellation terms.

Purchases through a reseller, application marketplace or other third-party merchant may be subject to that provider's cancellation administration.

2. RELATIONSHIP TO THE BACI LEGAL FRAMEWORK

This Policy forms part of the BACI Legal Framework and should be read with the Terms of Service, Billing Policy, Refund Policy, applicable Order or Order Form, Statement of Work, Enterprise Customer Agreement / Master Services Agreement, Service Level Agreement and applicable Supplemental Terms.

The Agreement's order of precedence applies. Mandatory Applicable Law prevails to the extent it cannot be contractually varied.

3. DEFINITIONS

“Cancellation Effective Date” means the date on which cancellation ends the applicable subscription or paid component.

“Committed Term” means a fixed contractual subscription period Customer has agreed to purchase.

“Recurring Billing” means automatic billing for successive subscription periods.

“Renewal Date” means the date on which a recurring subscription renews for another term.

Other capitalised terms have the meanings given in the Terms or Billing Policy.

4. GENERAL CANCELLATION PRINCIPLE

Customer may stop future renewal of an eligible recurring BACI subscription using the cancellation method made available for the applicable purchase or by contacting BACI where assisted cancellation is required.

Unless the applicable terms expressly permit immediate termination, cancellation ordinarily takes effect at the end of the current paid or Committed Term.

Customer remains entitled to use the paid Service through the applicable Cancellation Effective Date unless the Service is suspended or terminated earlier under the Agreement.

5. TURNING OFF RECURRING BILLING

For an eligible subscription, turning off Recurring Billing means BACI will not automatically renew the subscription after the current term.

Turning off Recurring Billing does not ordinarily end access immediately, erase Fees already incurred or create a Refund.

Where the interface shows that a subscription is scheduled to expire and Recurring Billing is off, no additional cancellation action is ordinarily required for that subscription.

6. MONTHLY SUBSCRIPTIONS

A month-to-month subscription may ordinarily be cancelled for future renewal before the next Renewal Date.

Unless BACI expressly offers immediate cancellation, the subscription remains active through the end of the current paid monthly period.

The current-period Fee is governed by the Refund Policy and is not automatically refunded because Recurring Billing is disabled.

7. ANNUAL SUBSCRIPTIONS

An annual subscription is a commitment for the annual term.

Customer may ordinarily stop renewal for the next annual term, but cancellation for convenience during the current annual term does not shorten the existing Committed Term unless the applicable Order expressly permits early termination.

Refund rights, if any, are governed by the Refund Policy and applicable Agreement.

8. ANNUAL COMMITMENT PAID MONTHLY

Where BACI permits an annual commitment to be paid in monthly instalments, the billing frequency does not convert the annual commitment into a month-to-month subscription.

Customer may stop renewal of the next annual term, but remains responsible for the current annual commitment unless an express termination right applies.

The applicable Order controls where it provides different treatment.

9. ENTERPRISE SUBSCRIPTIONS

Enterprise cancellation and non-renewal are governed primarily by the applicable MSA, Order, SOW or negotiated amendment.

Enterprise Customers must comply with any contractual notice period, notice method, renewal provision or minimum commitment stated in those documents.

This Policy does not override a negotiated enterprise term.

10. CANCELLATION METHODS

Depending on the purchase channel, BACI may support cancellation through an account or billing portal, subscription-management interface, authorised administrator workflow, written notice, or BACI Billing.

BACI will not require a cancellation method materially more burdensome than Applicable Law permits.

Where Customer cannot reasonably access the normal cancellation mechanism, Customer may contact billing@bacihq.com for assistance.

11. AUTHORISED CANCELLATION

BACI may require cancellation to be initiated by an account owner, billing administrator, organisation administrator or other person reasonably authorised to alter the subscription.

BACI may request reasonable identity or authority verification before cancelling a business account.

BACI is not required to accept cancellation instructions from a person who lacks apparent authority over the subscription.

12. CANCELLATION CONFIRMATION

Where operationally supported, BACI will provide or display confirmation that cancellation or non-renewal has been recorded.

Customer should retain the confirmation for its records.

If Customer does not receive expected confirmation, Customer should verify subscription status before the next Renewal Date.

13. EFFECTIVE DATE

The Cancellation Effective Date is determined by the applicable subscription term, Order and cancellation option.

For ordinary end-of-term cancellation, it is the end of the current paid or Committed Term.

Where immediate cancellation is expressly permitted, the confirmation or applicable Agreement identifies the effective date.

14. ACCESS AFTER CANCELLATION REQUEST

Where cancellation is scheduled for the end of a paid term, Customer ordinarily retains contracted access until the Cancellation Effective Date.

BACI may continue to meter billable usage incurred before that date where the plan includes usage-based charges.

Customer remains subject to the Agreement during continued access.

15. IMMEDIATE CANCELLATION

BACI may offer an immediate cancellation option for certain Services.

Immediate cancellation may end access before the end of the paid period and does not itself create a Refund.

Before confirming an irreversible immediate cancellation, BACI may present the effect on access, data or billing where appropriate.

16. NON-RENEWAL

Non-renewal means the subscription will expire at the end of the current term instead of renewing.

For fixed-term enterprise subscriptions, notice of non-renewal must comply with the applicable Order or MSA.

For self-service subscriptions, disabling Recurring Billing is ordinarily the method of non-renewal.

17. RENEWAL AFTER CANCELLATION

Until the Cancellation Effective Date, Customer may be able to reactivate Recurring Billing or withdraw a scheduled cancellation where the Service supports it.

Reactivation may be subject to then-current pricing, plan availability and eligibility.

After expiration, reactivation may require a new subscription.

18. FREE TRIALS

A free trial that does not require paid conversion may expire automatically without cancellation.

Where a trial is configured to convert automatically to a paid subscription, BACI will disclose the conversion and cancellation terms before enrolment as required by law.

Customer may cancel or disable Recurring Billing during the trial to prevent future charges where the trial terms permit.

19. TRIAL EXPIRATION

At trial expiration, trial functionality may stop and trial data may become subject to deletion according to the Data Retention & Deletion Policy.

Customer should export data it wishes to retain before trial expiration where export is available.

Expiration of a free trial does not create a Refund.

20. PROMOTIONAL SUBSCRIPTIONS

Promotional pricing does not alter cancellation rights unless the promotion expressly states different terms.

If a promotion requires a Committed Term, Customer remains subject to that commitment.

Customer may stop future renewal according to the applicable subscription terms.

21. UPGRADES AND CANCELLATION

If Customer upgrades a subscription, the upgraded subscription's term and Renewal Date may replace or modify the prior subscription's billing schedule.

The upgrade confirmation controls.

Cancelling after an upgrade does not automatically reverse the upgrade charge.

22. DOWNGRADES

A requested downgrade is not necessarily a cancellation.

A downgrade ordinarily takes effect at the next renewal and may reduce Mode, Capacity, features, users, markets, workspaces or other entitlements.

Where Customer intends to discontinue the subscription entirely, Customer should use the cancellation process rather than relying on a downgrade request.

23. ADD-ONS

Customer may cancel an eligible recurring add-on separately from the underlying subscription where the Service permits.

Cancelling an add-on does not automatically cancel the base subscription.

An add-on may remain available through its paid term unless the applicable terms provide otherwise.

24. USAGE-BASED SERVICES

Stopping a subscription does not erase Usage Charges incurred before the Cancellation Effective Date.

Customer should disable or revoke automated integrations, API credentials, workflows or other Customer-controlled mechanisms that may continue generating billable activity before cancellation becomes effective.

BACI may provide controls to stop future usage, but Customer remains responsible for Customer-controlled usage within the Agreement.

25. CAPACITY

Unused Capacity at cancellation does not roll over, convert to cash or extend the subscription beyond the Cancellation Effective Date unless the applicable Order expressly provides otherwise.

Customer should plan exports and migrations before Capacity and access expire.

26. AUTONOMOUS FUNCTIONALITY

Customer cancelling or non-renewing Autonomous functionality should review and disable relevant Customer-controlled workflows, credentials, integrations and external permissions.

BACI may stop BACI-controlled Autonomous execution when the relevant Service ends.

Cancellation does not necessarily revoke credentials issued independently by a third-party connected system; Customer remains responsible for those third-party controls.

27. CONNECTED SYSTEMS

Before the Cancellation Effective Date, Customer should disconnect or reconfigure connected systems where continued third-party access is no longer desired.

BACI may revoke BACI-issued credentials at or after termination of access.

Third-party data already transmitted outside BACI may remain subject to the third party's independent retention and deletion rules.

28. API ACCESS

Cancellation of Developer or API access may result in revocation of BACI API credentials on or after the Cancellation Effective Date.

Customer should plan for dependent applications to stop functioning when credentials are revoked.

Cancellation does not relieve Customer of Usage Charges incurred before access ends.

29. PROFESSIONAL SERVICES

Cancellation or termination of professional, implementation, advisory or technical services is governed by the applicable SOW or Order.

A subscription cancellation does not automatically cancel a separate SOW unless the documents make them dependent.

Committed personnel, milestones and non-cancellable costs may remain payable as agreed.

30. CUSTOM IMPLEMENTATIONS

Customer-specific implementation, integration or configured work may have separate cancellation terms because resources may be committed before delivery.

The applicable Order or SOW controls.

BACI will not impose an undisclosed cancellation charge that has no contractual basis.

31. CANCELLATION AND REFUNDS

Cancellation does not itself create a Refund.

Refund eligibility is determined solely under the Refund Policy, applicable Order, Agreement and mandatory law.

Where a cancellation qualifies for a Refund, BACI will process the Refund according to the Refund Policy.

32. CANCELLATION AND BILLING

Cancellation stops future billing only from the point specified by the applicable subscription terms.

Fees accrued before the Cancellation Effective Date remain payable.

Where Customer has a Committed Term, payment obligations for that term may continue after a request to stop future renewal.

33. OUTSTANDING BALANCES

Customer may cancel future renewal even where an account has an outstanding balance, but cancellation does not extinguish that balance.

BACI may pursue undisputed amounts according to the Billing Policy and Agreement.

34. CANCELLATION DURING A BILLING DISPUTE

A billing dispute does not automatically cancel a subscription.

If Customer also intends to stop future renewal, Customer should separately cancel or provide non-renewal notice.

BACI will continue to address the billing dispute under the Billing Policy.

35. CANCELLATION AFTER A PRICE CHANGE

Where BACI provides notice of a prospective renewal price change, Customer may stop renewal before the new term begins, subject to the applicable Agreement.

Cancellation does not ordinarily affect the price already paid for the current term.

Any additional right arising from mandatory local law remains unaffected.

36. CANCELLATION FOR BACI BREACH

A Customer seeking to terminate for BACI's material breach must use the termination-for-cause process in the Terms or applicable enterprise agreement rather than treating ordinary subscription cancellation as a substitute.

Where a cure period applies, Customer must ordinarily provide the required notice and opportunity to cure.

Refunds following valid termination for cause are governed by the Agreement and Refund Policy.

37. TERMINATION BY BACI

BACI may terminate Services only as permitted by the Agreement, including for material breach, non-payment, prohibited use, legal requirements or other stated grounds.

Where BACI terminates without Customer breach and the Agreement requires a refund of unused prepaid Fees, the Refund Policy and Agreement govern that remedy.

38. SUSPENSION IS NOT CANCELLATION

Suspension temporarily restricts access and does not necessarily terminate or cancel the subscription.

Fees may continue during suspension where the Agreement so provides.

Customer should not assume that a suspended account will automatically stop renewing.

39. SERVICE DISCONTINUATION

If BACI discontinues a paid Service, BACI will follow applicable notice, migration, termination and refund obligations under the Agreement.

BACI may offer a replacement or successor Service where appropriate.

Ordinary product evolution does not constitute cancellation of the subscription if BACI continues to provide the contracted Service materially as agreed.

40. THIRD-PARTY MARKETPLACES

If Customer purchased through Apple, Google, a cloud marketplace or another third-party merchant of record, Customer may need to cancel through that provider.

BACI cannot guarantee that cancellation submitted only to BACI will stop billing controlled by a third-party merchant.

Customer should follow the cancellation mechanism associated with the original purchase.

41. RESELLER PURCHASES

Where an authorised reseller controls Customer billing, Customer may need to provide cancellation or non-renewal notice to the reseller.

The reseller relationship does not authorise the reseller to modify BACI's legal terms unless BACI expressly agrees.

BACI may coordinate with the reseller where appropriate.

42. MOBILE APPLICATION SUBSCRIPTIONS

Deleting a BACI application does not cancel a subscription.

Where an app-store provider controls billing, Customer must use the applicable store subscription-management process.

Cross-platform BACI access may continue until the underlying subscription expires.

43. MULTIPLE SUBSCRIPTIONS

Cancelling one BACI subscription does not automatically cancel another subscription, organisation, workspace, Order or add-on.

Customer should review all active purchases if it intends to discontinue all paid BACI Services.

44. MULTIPLE ORGANISATIONS

Where Customer administers multiple BACI organisations, cancellation may apply only to the organisation or subscription identified in the cancellation request.

BACI may require Customer to specify the affected organisation to avoid unintended termination.

45. DATA EXPORT

Customer should export Customer Data it wishes to retain before access ends where export functionality is available.

Data return rights are governed by the DPA, Terms, applicable Order and Data Retention & Deletion Policy.

Cancellation does not create an indefinite data-hosting obligation.

46. DATA AFTER CANCELLATION

After the Cancellation Effective Date, Customer Data may enter a restricted, retrieval, retention or deletion lifecycle according to the Agreement and Data Retention & Deletion Policy.

BACI does not promise a universal post-cancellation retrieval period unless one is stated in the applicable Agreement or Service.

Customer should therefore complete necessary exports before access ends.

47. BACKUPS

Deletion following cancellation may not immediately remove Customer Data from protected backups.

Backup copies may remain until overwritten, expired or securely destroyed through ordinary lifecycle processes and are not intended for ordinary business use.

The Data Retention & Deletion Policy governs backup treatment.

48. ACCOUNT CLOSURE

Cancelling a subscription and closing an Account are different actions.

A Customer may cancel paid Services while retaining an Account where BACI supports that state.

Account closure may affect access to data, records, free functionality and other organisations and should not be requested merely to stop renewal unless that is Customer's intention.

49. ORGANISATION CLOSURE

Closing an organisation may affect multiple users, workspaces, data and subscriptions.

BACI may require heightened confirmation or administrator authority before organisation closure.

Where Customer only intends to stop a particular subscription, Customer should not close the entire organisation unless appropriate.

50. CANCELLATION REQUEST ERRORS

If Customer submits an incomplete, ambiguous or technically unsuccessful cancellation request, BACI may seek clarification.

Where BACI's system confirms cancellation, BACI will honour that confirmation according to its terms.

Customer should promptly report a discrepancy between a confirmed cancellation and subsequent billing.

51. FAILED CANCELLATION DUE TO BACI ERROR

If Customer properly completes BACI's required cancellation process and BACI fails to record or apply the cancellation because of BACI-controlled error, BACI will correct the subscription status and any resulting billing error.

Refund or billing correction will be handled under the Refund and Billing Policies.

52. CUSTOMER FAILURE TO COMPLETE CANCELLATION

Beginning but not completing a clearly presented cancellation process does not necessarily cancel a subscription.

BACI should design cancellation flows so the final status is reasonably clear.

Customer is responsible for completing the required confirmation step unless Applicable Law provides otherwise.

53. NOTICE BY EMAIL

Where an enterprise agreement permits cancellation or non-renewal by email, notice must be sent to the address specified in that agreement or otherwise designated by BACI.

Ordinary support correspondence does not constitute formal contractual notice where the Agreement requires a particular notice method.

Self-service Customers may use billing@bacihq.com where assisted cancellation is required.

54. NOTICE PERIODS

BACI will not invent a notice period for a self-service subscription where none was disclosed.

Enterprise and negotiated subscriptions may require advance non-renewal or termination notice as stated in the applicable agreement.

A contractual notice period remains enforceable subject to Applicable Law.

55. NO CANCELLATION PENALTY UNLESS AGREED

BACI will not impose an early-cancellation Fee or penalty unless the applicable Order, offer or Agreement clearly provides for it.

Remaining Fees under an agreed Committed Term are not necessarily a cancellation penalty; they may represent the original subscription commitment.

Mandatory law controls the character and enforceability of such amounts.

56. COTERMINOUS SUBSCRIPTIONS

Where BACI has aligned multiple subscriptions to a common renewal date, cancellation takes effect according to the coterminous arrangement stated in the Order or billing confirmation.

Cancelling one component does not necessarily alter the common anniversary date for remaining components.

57. AFFILIATE, PARTNER AND PROGRAMME PARTICIPATION

Ending an Affiliate, Technology Partner, Agency, Adviser or other commercial programme relationship is governed by the applicable programme agreement.

Cancellation of a BACI subscription does not automatically terminate a separate commercial relationship, and termination of a commercial relationship does not automatically cancel unrelated subscriptions unless the applicable agreement states otherwise.

58. DEVELOPER APPLICATIONS

Developers are responsible for gracefully handling expiration or cancellation of BACI credentials in their applications.

BACI may revoke sandbox and live credentials when Developer access ends.

End-customer obligations created independently by Developer are not assumed by BACI merely because the Developer cancels BACI access.

59. PUBLIC-SECTOR AND REGULATED CUSTOMERS

Government, public-sector and regulated Customers may have additional termination, records, transition, procurement or notice requirements under an applicable schedule or Order.

Those requirements control where expressly incorporated.

Ordinary self-service cancellation procedures should not be assumed to satisfy a negotiated public-sector termination process.

60. STATUTORY CANCELLATION RIGHTS

Where mandatory law grants Customer a cooling-off, withdrawal, immediate cancellation, prorated refund, automatic-renewal or other cancellation right, that right applies according to its legal conditions.

BACI may implement regional cancellation procedures to satisfy local requirements.

This Policy does not contractually extend a statutory consumer right to a business Customer where the law does not require it.

61. AUTOMATIC RENEWAL DISCLOSURES

Where Applicable Law requires specific disclosures, reminders, consent or cancellation mechanisms for automatically renewing subscriptions, BACI will comply with requirements applicable to BACI and the transaction.

The applicable purchase flow or Order will identify the subscription term and recurring nature of the purchase.

62. REACTIVATION

A cancelled or expired subscription may be eligible for reactivation.

Reactivation may be subject to then-current pricing, plan availability, Capacity, product changes, payment verification and data availability.

BACI does not guarantee that deleted Customer Data can be restored after applicable retention periods.

63. MIGRATION TO ANOTHER PLAN

Instead of cancellation, Customer may elect to migrate to another eligible BACI plan where available.

Migration may change pricing, Mode, Capacity, features and renewal dates.

BACI will present or contract the applicable commercial effect before the migration becomes billable.

64. RECORDS OF CANCELLATION

BACI may retain cancellation requests, confirmations, subscription status, effective dates, billing records and related communications for accounting, fraud prevention, dispute, tax, security and legal purposes.

Retention is governed by the Data Retention & Deletion Policy and Applicable Law.

65. NO WAIVER

BACI's acceptance of a late cancellation, one-time accommodation or exception does not amend this Policy or create a continuing right to the same treatment.

Any negotiated exception should be documented in the applicable Order or written agreement.

66. CHANGES TO THIS POLICY

BACI may update this Policy prospectively to reflect changes in Services, subscription architecture, purchasing channels, law or commercial operations.

BACI will not use a policy update to retroactively invalidate a cancellation already properly completed or eliminate an accrued mandatory right.

Each version will identify its effective and last-updated dates.

67. INTERPRETATION

“Cancel” may mean stop renewal at the end of the current term or, where expressly offered, end access immediately. The applicable cancellation confirmation determines which applies.

Cancellation is not synonymous with Refund, account deletion, organisation closure, suspension or termination for cause.

Where the Agreement expressly provides a stronger cancellation or termination right, BACI will not use this lower-precedence Policy to remove it.

ANNEX I — CANCELLATION OUTCOME MATRIX

MONTH-TO-MONTH SUBSCRIPTION — cancellation ordinarily stops the next monthly renewal; access continues through the current paid period.

ANNUAL SUBSCRIPTION — cancellation ordinarily stops the next annual renewal; the current annual commitment continues unless an express early-termination right applies.

ANNUAL COMMITMENT PAID MONTHLY — stopping renewal does not cancel remaining instalments of the current annual commitment unless the Agreement provides otherwise.

ADD-ON — may be cancelled separately where supported; base subscription continues.

USAGE-BASED SERVICE — cancellation stops future access at the effective date; incurred usage remains payable.

ENTERPRISE ORDER — contractual notice, term and renewal provisions control.

THIRD-PARTY MARKETPLACE — marketplace cancellation mechanism may control.

VALID TERMINATION FOR CAUSE — Terms or negotiated agreement control; Refund Policy determines monetary remedy.

ACCOUNT CLOSURE — separate from subscription cancellation.

ANNEX II — CUSTOMER CANCELLATION CHECKLIST

Before cancelling, Customer should:

1. identify the subscription, organisation and add-ons to be cancelled; 2. check whether the subscription is monthly, annual or another Committed Term; 3. review the Renewal Date; 4. understand whether cancellation is end-of-term or immediate; 5. review any enterprise notice requirement; 6. export Customer Data that must be retained; 7. review API and integration dependencies; 8. disable Customer-controlled Autonomous workflows where appropriate; 9. revoke third-party credentials that BACI does not control; 10. review outstanding Usage Charges and invoices; 11. retain cancellation confirmation; and 12. separately close the Account only if Customer intends to close the Account itself.

ANNEX III — CANCELLATION, TERMINATION AND REFUND DISTINCTIONS

CANCELLATION — stops renewal or ends an eligible subscription according to its terms.

NON-RENEWAL — allows a fixed or recurring term to expire without a new term.

TERMINATION FOR CAUSE — ends contractual rights because a qualifying breach or other cause exists under the Agreement.

SUSPENSION — temporarily restricts access and does not necessarily stop billing or renewal.

REFUND — returns money already paid and is governed by the Refund Policy.

ACCOUNT CLOSURE — closes the BACI Account and may have broader consequences than cancelling a subscription.

ORGANISATION CLOSURE — may affect multiple users, workspaces, subscriptions and data.

These actions should not be treated as interchangeable.

ANNEX IV — ENTERPRISE NON-RENEWAL FRAMEWORK

For an Enterprise Customer, the applicable Order or MSA should identify:

initial subscription term; • renewal structure; • whether renewal is automatic; • advance non-renewal notice period, if any; • permitted notice method; • notice recipient; • termination-for-cause rights; • cure periods; • termination-for-convenience rights, if any; • committed Fees; • treatment of unused prepaid Fees; • transition or data-retrieval rights; and • provisions that survive expiration or termination.

This Annex does not itself impose a specific enterprise notice period. The executed agreement should establish the applicable commercial terms.
